Why is it breaching their rights?
You aren't distributing any of their content, in fact, this is practically no different from mods with an installer, or a tutorial (Seeing as the user builds the end mod). This would simply be a mod with a donation button, as a lot of the nexus ones do (I think nexus might actually have an in-built donation button for all users).

Because we would be both accepting money and doing something, the two may be inferred to be connected and thus would deliver a considerable blow to our ability to stay in our safe legal grey area.

Why not just use open source utilities? Not only would it allivate the cost to you, but the support for such projects is astounding.
I recommend XDelta for the file replacements. You can read about the project on its offical website: http://xdelta.org The module is very intuitive and very scriptable.
For the installer, I recomend Inno: http://www.jrsoftware.org/isinfo.php I've been using INNO for quite a few years and if you're interested I'd be happy to donate my time and effort in to releiving all of the burdon of the installer phase from you so you can concentrate on life stuff.
If you're interested in a sample of what I've done with a combo of XDelta and Inno, I can send you some samples. But, due to the nature of the projects I'm working on, they're closed source and some aren't even announced yet so most of the stuff I'd be sending you would on a NTKB.

XDelta was used in a previous incarnation of TTW. I don't remember why it isn't used now though.
